A Capital Reduction Demerger for Business Transition Planning

The Challenge

A long-established family-owned company was preparing for a transition of ownership to its key employees. The business operated from owned trading premises and also held a portfolio of investment properties. The shareholders wanted to retain the investment property portfolio, including the trading premises, within the family but allow the trading business to pass to the next generation of leadership. Before proceeding with the sale, they needed to separate the two distinct elements of the business in a tax-efficient way.

The Solution

Stratos advised on and implemented a capital reduction demerger. This allowed the property portfolio to be transferred into a new standalone company (separate from the trading company) remaining under the control of the existing shareholders, while the trading company was ring-fenced and made ready for transition to the key employee-shareholders. We provided strategic tax advice, managed the necessary clearances from HMRC, and worked alongside legal advisers to ensure a smooth and compliant execution of the demerger.

The Value

The demerger was completed successfully without triggering immediate tax charges. The family retained ownership of the property assets, and the trading company was transferred to the key employees as planned (via a separate transaction).

The structure provided commercial clarity, safeguarded family wealth, and ensured that the incoming shareholders could continue running the business without legacy complications demonstrating the value of careful planning and expert tax input.
