Navigating Family Disputes: Structuring a Successful Business Split

The Challenge

Two brothers were director-shareholders and wished to separate their business interests following a family dispute that had made continued joint ownership unworkable. Emotions were high, and the complex nature of the group structure meant there was real potential for tax leakage if the split wasn’t carefully planned.

The brothers needed an impartial advisor who could help navigate the restructure with minimal tax cost and maximum clarity, while maintaining independence for both sides.

The Solution

Stratos was jointly engaged to provide independent, specialist tax advice. We worked with each brother’s legal and financial advisors to propose a strategy that would achieve the desired separation in a tax-efficient and commercially practical way.

After a detailed review of the group structure and assets, we outlined a plan to split the business using a combination of demerger techniques. We submitted a comprehensive clearance application to HMRC, setting out the commercial purpose of the transactions and seeking confirmation that anti-avoidance provisions would not apply.

The Value

HMRC granted the requested clearance, allowing all parties to proceed with confidence. We provided a full breakdown of the tax implications, which became the basis for each party’s legal and financial advisors to structure the final deal.

The transactions were completed as recommended, with:

  • Only Stamp Duty Land Tax (SDLT) payable on property transfers
  • No immediate capital gains or income tax charges
  • A future tax-free uplift in base cost for a piece of development land, improving tax efficiency on eventual sale

The restructure achieved a clean break between the brothers, with minimal tax exposure and clear ongoing ownership of assets. Feedback from the professional teams on both sides was extremely positive, praising the clarity, objectivity, and high level of service provided by Stratos.
