Tax-Efficient Business Wind-Down and Property Retention

The Challenge
Our client was planning to retire within three years and close down his two limited companies. However, both companies held investment properties which he did not want to sell, as he anticipated significant capital growth in the near future.
He needed a tax-efficient strategy to extract the properties for long-term ownership, while also managing the tax liabilities associated with winding down the companies and transferring assets.
The Solution
We worked closely with the client to create a bespoke exit plan that would allow him to retain the properties, wind down the companies, and reduce unnecessary tax exposure.
Our strategy involved:
- Inserting a new holding company with no trading history
- Transferring the investment properties to the new holding company
- Settling liabilities and transferring any remaining assets
- Liquidating or striking off the original companies once all steps were complete
We also handled communication with HMRC, applied for all relevant tax reliefs, and collaborated with the client’s solicitors to ensure a smooth and compliant process.
The Value
The plan was implemented successfully, allowing the client to:
- Retain full ownership of the properties without triggering excessive tax charges
- Wind down both companies within the planned three-year window
- Avoid costly and unnecessary tax liabilities associated with direct extraction
- Begin drawing rental income as dividends from the new company going forward
This solution gave the client peace of mind and a flexible, tax-efficient retirement plan, while preserving the long-term value of the investment properties.
